License Agreement

1. Definitions
“Generated Content” means any image, video, text, or other media output produced by Ateli Studio’s AI powered tools on your behalf.
"Platform" means the Ateli Studio web application and all related services.
"You" / "User" means the individual or entity that holds an Ateli Studio account.
"Client" means a third party for whom you produce Generated Content (applicable to Studio and Pro plans).
"White Label Use" means the right to remove all Ateli branding and present Generated Content as your own or your client's original work.
"Additional User" means a team member invited to your workspace with access to shared credits and outputs.
2. Ownership of Generated Content
2.1 Your Ownership
Subject to the restrictions of your subscription tier (Section 3), you own the Generated Content you create through the Platform. Ateli Studio does not claim ownership of your outputs.
2.2 Input Materials
You retain full ownership of any images, brand assets, logos, or other materials you upload to the Platform. By uploading, you grant Ateli Studio a limited, non exclusive license to process these materials solely for the purpose of delivering the requested AI generation. Uploaded materials are not used to train AI models and are deleted according to our Data Retention Policy.
2.3 Platform License
You grant Ateli Studio a non exclusive, royalty free, worldwide license to use Generated Content solely for:
Delivering the service to you (processing, storage, display within your account).
Internal quality assurance and model monitoring (anonymised, non public).
Marketing and promotional purposes only with your prior written consent.
3. License Tiers
Your subscription plan determines the scope of rights granted for Generated Content. Ateli Studio operates four plans: Free, Basic, Studio, and Pro
3.1 Free Plan (Personal Use License)

Credits: 20 credits per month. No rollover, unused credits expire at the end of each billing cycle. No credit pack purchases.
Summary: You may use Generated Content for personal projects, mood boards, portfolio pieces, and nonmonetised social media posts. You may not sell products using Generated Content, use it in paid advertising, or produce content for clients. All outputs carry a visible watermark.
3.2 Basic Plan (Commercial License)

Summary: Full commercial rights for your own brand. You may use Generated Content to sell your own products, run ads, and create marketing materials. You may not produce content on behalf of other brands or resell Generated Content.
3.3 Studio Plan (Extended Commercial License)

You may not sublicense the raw Generated Content itself or remove attribution where Ateli provides it.
3.4 Pro Plan (Agency + White-Label License)

Summary: Maximum rights. Produce content for unlimited client brands, sublicense outputs to clients for their marketing use, deploy across all media channels including broadcast, and use Ateli's capabilities under your own brand. Suitable for agencies, enterprises, and platforms building AI-generated imagery into their own products.
4. Credit Rollover & Forfeiture

Credits exceeding the rollover cap at the end of a billing cycle are forfeited.
4.2 Forfeiture on Downgrade
If you downgrade from any paid plan to the Free plan, all accumulated credits (subscription + rollover + purchased packs) are immediately forfeited. This includes unused credit pack balances.
If you downgrade between paid plans (e.g., Pro to Basic), your credit balance is preserved up to the new plan's rollover cap. Any excess is forfeited at the end of the current billing cycle.
4.3 Credit Packs
One off credit packs are available to Basic, Studio, and Pro subscribers with a $15 minimum purchase. Pack credits are valid for 12 months from purchase and are consumed after monthly subscription credits. Active subscribers receive a 10% discount on all pack purchases.

5.2 Shared Resources
Additional users share the workspace's credit pool, projects, and generated content. The account holder is responsible for all activity by additional users and for ensuring compliance with these license terms.
5.3 Seat Changes
Removing an additional user does not affect Generated Content already created by that user. it remains in the workspace under the account holder's license.
6. Restrictions (All Plans)
Regardless of your subscription tier, the following restrictions apply to all Generated Content:
6.1 Prohibited Uses
You may not use Generated Content to:
Create content that is illegal, defamatory, obscene, or violates any applicable law.
Generate images of real, identifiable individuals without their documented consent.
Produce deepfakes, non-consensual intimate imagery, or impersonation content.
Create content that infringes on third-party intellectual property, trademarks, or copyrights.
Generate content promoting hate speech, violence, terrorism, or discrimination.
Mislead consumers by representing AI generated imagery as traditional photography without disclosure where legally required.
Circumvent or remove watermarks applied by the Platform to Free Plan outputs.
Claim that Generated Content was created without AI assistance where such disclosure is legally required in your jurisdiction.
6.2 AI Disclosure
Some jurisdictions require disclosure that content was generated or assisted by AI. You are solely responsible for complying with AI disclosure laws in your jurisdiction, including under the EU AI Act where applicable. Ateli Studio recommends transparent disclosure as a best practice.
6.3 No Exclusivity
Generated Content is non-exclusive. Ateli Studio's AI models may produce similar or visually related outputs for other users based on similar prompts. You do not receive exclusive rights to any style, composition, or visual element produced by the AI.
7. Quality Gating
Access to image and video quality tiers is determined by your subscription plan. Attempting to access quality tiers beyond your plan's entitlement will be blocked by the Platform.

Upgrading your plan immediately unlocks the higher quality tiers for new generations. Downgrading restricts future generations to the new plan's quality entitlements.
8. Termination and Post-Termination Rights
8.1 During Active Subscription
Your license rights are active for as long as your subscription is current and in good standing.
Generated Content created during an active paid subscription retains its commercial license in perpetuity. You do not lose rights to content already generated.
New generations after downgrade are subject to the license tier of your current plan.
If you downgrade from a paid plan to Free, new outputs will carry the Personal Use License and watermark.
8.3 Account Termination for Violation
If Ateli Studio terminates your account for a violation of these terms, all license grants are immediately revoked. You must cease use of all Generated Content and remove it from any published materials within 30 days.
Generated Content is provided "as is." Ateli Studio does not guarantee that Generated Content is free from defects, suitable for any particular purpose, or non-infringing. AI generated outputs may contain artefacts, inaccuracies, or unintended elements. You are responsible for reviewing all Generated Content before use.
10. Kimitation of Liability
To the maximum extent permitted by law, Ateli Studio's total liability for any claims related to Generated Content or this license agreement shall not exceed the amount you paid for your subscription in the 12 months preceding the claim.
11. Amendments
Ateli Studio may update this agreement with 30 days' notice via email or in-app notification. Continued use of the Platform after the notice period constitutes acceptance of the updated terms. Material changes that reduce your existing rights will not apply retroactively to content already generated.
12. Governing Law
This agreement is governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, unless otherwise required by applicable consumer protection law in your jurisdiction.
