1. Introduction
Welcome to Ateli Studio Ltd ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Ateli platform, including our website, applications, and AI-powered fashion content generation services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
2. Definitions
"Account" means a unique account created for you to access our Service.
"Content" refers to any images, videos, text, graphics, or other materials uploaded, generated, or displayed through the Service.
"Generated Content" means any content created using our AI-powered tools.
"Credits" refers to the virtual currency used to access generation features within the Service.
"User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
3. Account Terms
To use certain features of the Service, you must create an Account. When creating an Account, you agree to:
Provide accurate, current, and complete information during registration
Maintain and promptly update your Account information
Maintain the security of your password and Account
Accept responsibility for all activities that occur under your Account
Notify us immediately of any unauthorized use of your Account
You must be at least 18 years old to create an Account and use the Service. By creating an Account, you represent and warrant that you are at least 18 years of age.
4. Subscription and Payments
4.1 Subscription Plans
We offer various subscription plans (Free, Lite, Standard, and Pro) with different features and credit allocations. Plan details, pricing, and features are available on our pricing page and may be updated from time to time.
4.2 Credits
Credits are consumed when using generation features. Unused credits expire at the end of each billing cycle and do not roll over. Credit costs vary based on the type of generation (image, video, upscaling, etc.).
4.3 Billing
Paid subscriptions are billed in advance on a monthly or annual basis
All payments are non-refundable except as required by law
Prices are subject to change with 30 days' notice
You are responsible for providing valid payment information
4.4 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. You will retain access to paid features until the end of your billing cycle.
5. Intellectual Property Rights
5.1 Your Content
You retain ownership of any content you upload to the Service. By uploading content, you grant us a limited license to use, process, and display your content solely for the purpose of providing the Service.
5.2 Generated Content
Subject to your subscription plan and these Terms:
Free Plan: Generated content is for personal, non-commercial use only and includes watermarks
Lite Plan: Personal use license for generated content
Standard/Pro Plans: Commercial use license for generated content
5.3 Our Intellectual Property
The Service, including its original content (excluding user content), features, and functionality, is owned by Ateli and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6. Acceptable Use Policy
You agree not to use the Service to:
Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Create deepfakes or misleading content intended to deceive
Generate content depicting real individuals without their consent
Infringe upon intellectual property rights of others
Create content that exploits minors in any way
Generate adult, explicit, or NSFW content
Attempt to reverse engineer, decompile, or extract our AI models
Use automated systems or bots to access the Service without permission
Resell, redistribute, or sublicense access to the Service
Violate any applicable laws or regulations
We reserve the right to terminate or suspend access to the Service immediately, without prior notice, for any violation of this Acceptable Use Policy.
7. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share your personal information. By using the Service, you agree to our collection and use of information in accordance with our Privacy Policy.
We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
8. AI-Generated Content Disclaimer
Our Service uses artificial intelligence to generate content. You acknowledge and agree that:
AI-generated content may not always be accurate, complete, or suitable for your intended purpose
Generated content may occasionally produce unexpected or unintended results
You are responsible for reviewing and approving all generated content before use
We do not guarantee that generated content will be unique or not similar to other content
AI models are continuously improved, which may affect generation results over time
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATELI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED POUNDS (£100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ateli and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
Your access to or use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any content you upload or generate using the Service
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms.
14. Termination
We may terminate or suspend your Account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.
